Terms of Service

1. Acceptance of Terms
By accessing or using Marque (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including agency owners, staff members, and anyone accessing the Service on behalf of an organisation.
2. Description of Service
Marque is a cloud-based customer relationship management (CRM) platform designed for digital agencies. Features include client management, project tracking, invoicing, contract management, staff scheduling, time tracking, and related tools. The Service is provided on a subscription basis.
3. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access to your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payment
Access to the Service requires a paid subscription following any applicable free trial period. Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law or as explicitly stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Transmit spam, unsolicited communications, or malicious content
- Attempt to gain unauthorised access to any part of the Service or other users' accounts
- Reverse-engineer, copy, or resell any part of the Service
- Store or process data in violation of applicable data protection laws
- Interfere with the integrity or performance of the Service
6. Data Ownership
You retain full ownership of all data you input into the Service ("Your Data"). We do not claim any intellectual property rights over Your Data. You grant us a limited licence to process Your Data solely to provide and improve the Service. You may export or delete Your Data at any time.
7. Data Security
We implement industry-standard technical and organisational measures to protect Your Data. However, no method of transmission or storage is 100% secure. You are responsible for ensuring that data you upload complies with applicable laws and that you have the right to share it with us.
8. Intellectual Property
The Service, including its software, design, and content (excluding Your Data), is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription term.
9. Third-Party Integrations
The Service integrates with third-party services (such as Stripe, QuickBooks, Xero, Mailgun, Twilio, and OpenAI). Your use of these integrations is subject to the respective third parties' terms of service. We are not responsible for the availability or conduct of third-party services.
10. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim relating to the Service shall not exceed the amounts paid by you in the 12 months preceding the claim.
11. Termination
You may cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to access the Service ceases, though you may request a data export within 30 days.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice within the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
